Dear Board Members and Fellow Owners of Nauru Tower Apartments:
My husband (Professor Emeritus of Rutgers University) and I (retired corporate attorney), moved from Princeton, New Jersey to Nauru Tower in June of 2004. Since then, we have encountered a number of occasions which have finally convinced me that I should run for a Directorship on the Nauru Tower Board of Directors, in order to make a difference. I, therefore, come to this election with a certain sense of urgency, and clearly defined issues to be dealt with. I will explain.
ISSUES:
1. Policy of “exclusion”, lack of accountability to Association members.
When I first attended the 2005 Owners’ Annual Meeting, I was very surprised to observe that very few people in the audience spoke out or asked questions. I wondered why. In the meantime I have come to understand that although owners are frustrated with the Board’s inaction and lack of accountability to the owners, they kept quiet, because the Board tries to supress the owners’ free expression of opinions. It seems to me that our Board has been using the policy of “exclusion” rather than “inclusion”.
2. Lack of Integrity.
The continued practice of “suppression” and “exclusion” seems to have created an
environment where people are afraid to speak out, became passive and indifferent. In such an environment, it must have been easy for those BOD members to be engaged in certain unsavory financial transactions like the one that was discussed at the Board meeting of February 20, 2007.
EFFORTS THAT I WILL MAKE: If I am elected, I will do my best to realize the following:
1. Transparency.
Try to bring about transparency in the BOD’s decision making process, by finding ways to communicate more freely with the Association members.
2. Wider participation.
Promote wider participation of the Association members in the process of decision making, by creating a system of Committees. Our Association has so many talented people with exceptionally valuable life experiences. We should invite them to participate in various Committees to advise the Board . This will not only contribute to the betterment of the Association but also will help the committee members to prepare themselves to become future Board members of the Association.
GOAL: By honestly facing and correcting the problems of our Board, we will together recover our inner integrity, pride and respect and trust of our community at large. What we need is a “Good Stewardship” on the part of the Board and the management.
PERSONAL BACKGROUND: BA with major in Economics from Rutgers, the State University of New Jersey (Awardee of the Rutgers Award in Excellence in Economics,) and JD (Juris Doctor) from Rutgers Law School in Newark, New Jersey. Licensed to practice in New York and New Jersey, but worked exclusively in New Jersey. After several years of practice in private law firms, I became an In-House-Counsel (Corporate Attorney) of Permacel (a Nitto Denko Company), in New Brunswick, New Jersey . After 11 years of service as the Corporate Counsel and the Corporate Secretary, keeping the company clean, I retired in 2001, due to my husband’s health conditions.

Question and Answer: Where to Send Proxy
Question Raised in Comments:
Richard McDougal of Hawaiiana Management Company sent Nauru Tower owners a "NOTICE OF ANNUAL MEETING OF THE ASSOCIATION OF APARTMENT OWNERS OF NAURU TOWER — 2nd Mail Out," dated February 16, 2007, via U.S. Mail. Enclosed in that "2nd Mail Out" was a stamped addressed envelope to be used for returning our signed proxies to Hawaiiana.
In the mailing I received, that return envelope is addressed to: Hawaiiana Management Company, Ltd., Kahului Office Center, 140 Hoohana Street, Suite 210, Kahului, Maui, Hawaii 96732, and to no one's attention.
Nauru Tower owners who are returning their proxies to Hawaiiana by mail should instead use the stamped addressed envelope that was enclosed with the first notice, dated January 31, 2007. That envelope is correctly addressed to Hawaiiana's Honolulu office on Kapiolani Boulevard, Attn: Anne-Michele, as per the instructions in your blog entry. Alternatively, owners may of course address their own envelopes using the information you've posted.
Perhaps Hawaiiana can confirm that any Nauru Tower Association proxies received by Hawaiiana's Kahului, Maui office have been, and will continue to be, forwarded to Anne-Michelle in the Honolulu office, and that those proxies will be deemed valid as long as they are delivered to that erroneously provided Kahului address by the appointed time of 4:30 P.M., Friday, March 9, 2007, even if the proxies don't arrive in Honolulu until after that deadline.
ANSWER:
It makes absolutely no difference which of our offices the proxies go to. They will all be counted the same. It all goes into the same computer system as we are all on the same system in all of our offices.

現在の情報によりますと、普通ナウル・タワー協会運営委員は九人おりますが、現在五人しかおりません。その理由はつぎの四人の委員が辞任した為です。マックキノン(MacKinnnon), コミネ(Komine), フローリッヒ(Frolich), 及びブライニッヒ(Breinich)。現存の五人はキース・ホリタ(Keith Horita)(三月十三日の運営委員選挙までの臨時委員長)、ジョン・デ・メロ(Jon de Mello)(臨時副委員長)、ハリー・イノウエ(Harry Inouye)(会計担当)、ウイン・ストロウブ(Win Straube) (臨時秘書)、及びエリック・ヒル(Eric Hill)です。これら五人の内, キース・ホリタ, ジョン・デ・メロ及びエリック・ヒルの任期は三月十三日の選挙終了時点までです。 前者二人は委員再選の立候補者となっておりヒルはその立候補者していません。イノウエ及びストロウブは選挙後も委員の地位を維持します。異例にも今度の選挙で七人の委員を選出する必要があります。

2007 Annual Meeting Proxy-Urgent Attention
According to current information, there are only five Directors although we should have nine Directors. The reason for this is that four Directors have resigned: MacKinnnon, Komine, Froehlich, and Breinich. The remaining Directors are Keith Horita (Interim Board President until the Election of Directors on March 13), Eric Hill (Interim Vice President), Harry Inouye (Treasurer), Win Straube (Interim Secretary), Jon de Mello. Among these five Directors, the terms of the following three expire at the conclusion of the election of new Directors at the Annual Meeting of March 13: Keith Horita, Eric Hill, and Jon de Mello. The first two, Horita and Hill, decided to run for reelection, and the last, de Mello, decided not to run. Inouye and Straube continue to serve as Directors beyond the election.
All current Directors except Straube have been serving as Directors for 13 years by going through reelections for 13 times. Additionally Inouye has been serving as Treasurer for 13 years. This is highly unusual for any condominium association. Since we joined as members of the Nauru Tower Association three years ago we have observed that the decision making process of the Board of Directors has not been transparent to most association members and the Board has not followed up on recommendations of general members.
To have a well functioning Association which is engaged in the interests of its members, there is urgent need of electing Directors who will bring fresh, new approaches to the management and problems faced by the Association, who will give full attention to the needs of the Association and who are responsive to general members’ recommendations. We have a unique opportunity of accomplishing this. However, we should not be too optimistic because of the following facts. If history is a prediction for the future, the current Directors may receive a considerable number of proxies merely because assigning proxies to the sitting Board of Directors as a whole is the easiest way of completing our Proxy Form. Depending on how the Proxy Form is completed, the sitting Board of Directors as a whole may use the assigned proxies according to the preference of a majority of the Directors present at the Meeting. Therefore, there is a good chance of reelecting the current two Directors, Horita and Eric Smith. Additionally, they may cast their votes to candidates who are agreeable to them.
Because of the reasons stated above, I urgently recommend that you assign your precious proxy to one trustworthy person if you have not submitted your proxy form yet. If you do not have one reliable person for the proxy assignment, I recommend assigning your proxy to Win Straube, the only reform minded champion among the current Directors (unfortunately, he is in the minority among the current Directors). He is open minded and easily approachable by Association Members. Most importantly, he is a truly trustworthy man, who places top importance to the interests of our Association.
If you plan to cast your vote by attending the coming 2007 Annual Meeting, I recommend that you pay close attention to each candidate’s plan for bringing transparency to the Board of Directors’ decision-making process and for addressing recommendations by general Association Members.

Lobby Meeting 6 p.m. March 13
The annual meeting of the Nauru Tower will be held on Tuesday, March 13, 2007 in the lobby at 6:00 p.m.
One important item on the agenda is to elect a new board. The board consists of 9 members.
Because of the resignations of Scott McKinnon, Gerhard Froelich, Duane Komine, John Breinich, and Jon DeMello - there are going to be seven (7) new members elected at this meeting.
Of the 4 remaining directors, Keith Horita and Eric Hill’s seats are up for reelection should they choose to run.
Bob Bosley and Gerald Greer are running. Jade Lee has removed her name from the contest as she rents one of her units to the manager and is prohibited from being a director.
Several people have expressed an interest in standing for the board. I would like to invite any interested parties to submit a resume or paragraph that I could tape on this window here so other residents can get to know you before the election.
There is a small group of residents who desire and are willing to conduct an audit of the Nauru accounts for the previous few years. This will cost the association nothing. Of concern:
1) the pool costs and history behind them
2) the paint contract that used an (apparently) inferior paint that is flaking whenever it rains and adhering to resident windows.
3) the insurance coverages and bids for same. Our insurance premiums appear to be double the cost of the costs charged one resident who owns a company with like amount of employees.
Let me know if you have additional concerns that require investigation.
Harry Inouye has held the office of treasurer for over 12 years. Should Harry Inouye be dispossessed of the office of treasurer, we want to be ready to handle Nauru’s business affairs with a minimum learning curve.
Most condominiums elect new directors annually and have different directors taking their turn as president and treasurer. To allow one person to be treasurer for so many years is unusual and can lead to the kind of self-dealing that we have learned of this past month.
I am pleased to have met the many intelligent, honorable owners recently who have allied to be less complacent and more knowledgeable about costs and business of operating Nauru Tower.

Greetings from Korea !
Greetings from Seoul, Korea to all my neighbors at Nauru Tower and a Happy Chinese and Korean New Year ! Life is good for me here in Seoul. While it is a bit cold out it is an exciting time of year in Korea as families get together to exchange gifts and well-wishes.
I would like to encourage everyone to consider exercising their owner's rights at the next Annual Meeting on March 13th; I believe it is very important for each of us to elect a proxy representative who
will represent their best interests if they can not be at the meeting in person. There is a lot going on this year and I think a good turnout for voting will be important for all of our futures at Nauru Tower.
MY VOTE WILL BE GOING TO MR. WIN STRAUBE. I believe him to be honest, trustworthy, hardworking person who will energetically represent the interests of the owners above anyone else. I am grateful to Win for donating his time and efforts to this important matter.

2007 Annual Meeting
I believe that all of you received information on 2007 Annual Meeting of our Nauru Tower Association together with meeting agenda and a proxy assignment form and additionally brief statements of self-nominated three new candidates for Board of Directors.
As you might be aware of, the Directors of Nauru Tower Association have very important functions of formulating/deciding all key matters related to the management of our association as spelled out in Hawaii Revised Code.
Most of the current members have been on the board of Directors since the establishment of the association over ten years ago. Whereas they are doing good jobs in managing the association, their decision-making processes have not been clear to most members and inputs provided to the board by individual members have not been followed up. Therefore, there is a need of electing new directors so that fresh new ideas may be addressed.
To accomplish the above, I recommend respectfully that you collect proxies as many as it is possible to elect new directors. According to information provided by the Hawaiiana Management Co., completed proxy forms should be submitted to them by 4:30 PM, March 9, 2007.
The following matters are not related to the proxy collection. However, they may be of many members’ interest.
According to information obtained last week, there were undisclosed financial transactions involving the purchase and sale of Nauru Tower parking stalls by the two current directors (Inouye and Komine) and by our residential manager (Hokutan) in early 2006. The parking stalls were owned by Nauru Phosphate Royalties. The transactions were completed under the name of HTI & Associates that was set up by Inouye, Komine, and Hokutan. All association members need to find out that the validity of information from those involved in the transactions and that their financial dealings did not influence negatively our association’s interest if the information is valid.
Additionally, we should address the merit of limiting the directors to Nauru Tower residential/commersial unit owners since the need and requirement of a person owning a parking stall (or stalls) only is not truly representative of most association members.
Further more, the name of Duane Alan Komine (our current director) or HTI & Associates was not among the list of owners of Nauru Tower properties according to information downloaded from Honolulu City Web Site (effective in January of this year). We need to find out the validity of the finding. If it is correct, he is not qualified as the director of our association.

Pool Update
Progress on Nauru Tower’s fifth floor pool remains steady. As we look down the home stretch, eagerness for a mid-March tan makes us truly appreciate Hawaiian winters. With the completion of the pool deck stones, lighting, and the final moves towards waterproofing and retiling, we are all crossing our fingers for sunny skies to help us continue our advancement. Here at the Nauru Tower, we are truly grateful for your patience and understanding throughout this entire process and are working hard to ensure only the best. On a side note, our resident turtles wait in the wings, anxious for their return!
Window Cleaning
The windows look impeccable at Nauru Tower! If you have noticed, we have hired a new company, World Wide Window Cleaning, to service our windows in the building. Along with their impressive eight-man drops giving rise to increased efficiency, quality, and safety, World Wide Window Cleaning is also responsible for all our neighboring buildings. Upon their completion last week, we have received numerous positive comments on their outstanding work.
If there are any concerns with caulking or window gaskets, or if you would like to schedule additional appointments, please notify the resident manager at 592-1200.
President’s Corner
After 15 years on the Board of Directors of Nauru Tower, most of that time as President, I have decided it is time for a change and I am retiring on March 1, 2007. There are many things I want to do with my time, including doing more traveling, and with the Annual Meeting coming up on March 13 I feel it is time to pass the torch to others. Nauru Tower continues to be one of the premier buildings in Honolulu and I leave the Board with the confidence that it will maintain this reputation. The Association is in good financial condition, has an excellent Resident Manager in Weylin Hokutan, has a wonderful and dedicated staff, and a Board and owners who want the best for Nauru Tower. I would not want to live anywhere else. I hope you will consider serving on the Board to give the Association the benefit of the variety of talents and experiences possessed by our owners. My thanks to everyone for making Nauru Tower a great building. Aloha.
